Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the SimRev platform (the “Platform”). These Terms constitute a binding legal agreement between you (“User” or “you”) and SimRev (“Company”, “we”, “our”, or “us”).

 

By accessing, browsing, registering for, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you are not authorized to use the Platform.

 

 

1. Eligibility

 

You must be at least 13 years old to use SimRev. By using the Platform, you represent and warrant that:

 

  • You are of legal age in your jurisdiction or have the permission of a parent or guardian;

  • You are fully able and competent to enter into and comply with these Terms;

  • You are not prohibited from accessing the Platform under any applicable law.

 

 

 

2. Platform Ownership and Control

 

SimRev is a privately owned and operated service. We retain full, unrestricted, and unilateral control over the Platform, including but not limited to:

 

  • User accounts;

  • Uploaded content;

  • Features, functionalities, and services;

  • Platform policies, guidelines, and enforcement actions.

 

 

We may suspend, restrict, modify, or terminate any account, content, or feature at any time, for any reason, without prior notice, liability, or obligation to you.

 

We are not obligated to provide access to the Platform to any individual or entity and may deny access at our sole discretion.

 

 

3. Account Registration

 

To use certain features of the Platform, you may be required to register for an account. You agree to:

 

  • Provide accurate, current, and complete information;

  • Maintain the confidentiality of your account credentials;

  • Be solely responsible for all activities that occur under your account.

 

 

We reserve the right to reclaim usernames or suspend accounts that are inactive, violate our Terms, or pose a risk to the community.

 

 

4. User Content and License

 

Users may post, upload, transmit, or otherwise make content available, including text, images, videos, and audio recordings (“User Content”). You retain ownership of your User Content. However, by submitting User Content to the Platform, you grant SimRev a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, sublicensable license to use, host, reproduce, modify, adapt, publish, translate, distribute, display, and perform such content in connection with:

 

  • Operating and promoting the Platform;

  • Improving services;

  • Enforcing community standards.

 

 

We are not responsible for monitoring, screening, or editing User Content. However, we reserve the right to remove or restrict any content for any reason, including content that we believe violates these Terms, applicable laws, or community standards.

 

 

5. Prohibited Conduct

 

You agree not to:

 

  • Post or share content that is unlawful, offensive, harassing, violent, discriminatory, pornographic, or otherwise objectionable;

  • Infringe upon intellectual property, privacy, or publicity rights;

  • Use bots, automation, or scraping technologies to access the Platform;

  • Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Platform or its systems;

  • Use the Platform for commercial advertising, political campaigning, or solicitation without written permission.

 

 

We reserve the right to investigate and pursue legal action against any User who, in our judgment, violates these provisions.

 

 

6. Privacy and Data Collection

 

Your privacy is important to us. We collect, use, and share your personal information in accordance with our Privacy Policy.

 

By using the Platform, you consent to the collection and use of your information as described in that policy, including data stored on servers located in Canada or other jurisdictions.

 

 

7. Termination

 

We may suspend or terminate your access to the Platform, at our sole discretion, with or without cause, and without prior notice. Termination may result in deletion of all content associated with your account.

 

You may terminate your account at any time. However, all licenses granted to us regarding your User Content shall survive termination.

 

 

8. Intellectual Property

 

All intellectual property on the Platform, including but not limited to logos, design, trademarks, software code, and branding, is owned by SimRev or its licensors and is protected by international copyright and intellectual property laws.

 

You agree not to reproduce, distribute, modify, or create derivative works of any materials without express written permission from SimRev.

 

 

9. No Warranty

 

The Platform is provided “AS IS” and “AS AVAILABLE.” SimRev makes no representations or warranties of any kind, express or implied, including:

 

  • That the Platform will be uninterrupted, error-free, or secure;

  • That any content or information is accurate, reliable, or up-to-date;

  • That your use will not infringe third-party rights.

 

 

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

 

10. Limitation of Liability

 

To the fullest extent permitted by law, SimRev shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data, or goodwill, arising from or related to:

 

  • Your use or inability to use the Platform;

  • Any conduct or content of any User or third party;

  • Any unauthorized access or use of your account.

 

 

Our total liability for all claims shall not exceed the greater of: (i) $100 CAD; or (ii) the amount you paid to us in the 12 months preceding the claim.

 

 

11. Indemnification

 

You agree to indemnify, defend, and hold harmless SimRev and its affiliates, officers, agents, and employees from any claims, damages, liabilities, costs, and expenses arising from:

 

  • Your use or misuse of the Platform;

  • Your violation of these Terms;

  • Your User Content or any content you submit, post, or transmit through the Platform.

 

 

12. Governing Law and Jurisdiction

 

These Terms shall be governed and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Calgary, Alberta, for any dispute related to these Terms or your use of the Platform.

 

 

13. Changes to Terms

 

We reserve the right to update or modify these Terms at any time, with or without notice. The latest version will always be posted on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the new Terms.
